You agree to defend, indemnify, and hold harmless Beam Ventures, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, any use of the Website’ content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

16. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of ADGMwithout giving effect to any choice or conflict of law provision or rule (whether of ADGMor any other jurisdiction).

Any dispute shall first be resolved between the Parties. If the Parties fail to resolve the dispute in accordance with the foregoing, each of them may demand that the dispute shall be finally settled and with binding effect for the Parties by arbitration in accordance with the laws of ADGMunder the rules of the London Court of International Arbitration (LCIA). The number of arbitrators shall be one, to be appointed by the LCIA, and the language of the arbitration shall be English. The Parties agree that the arbitration process shall be confidential, and all awards shall be final and binding on the Parties, enforceable in any court of competent jurisdiction.Any breach by you of these Terms of Use could cause Beam Ventures irreparable harm for which it has no adequate remedies at law. Accordingly, Beam Ventures is entitled to seek specific performance or injunctive relief for any such breach. Nothing in this section will preclude Beam Ventures from seeking specific performance or injunctive relief from a court of appropriate jurisdiction.

17. Waiver and Severability

No waiver by us of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

18. Entire Agreement

The Terms of Use, our Privacy Policy and other terms and conditions applicable at the time you access the Website constitute the sole and entire agreement between you and Beam Ventures with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
